Boots Corporate gift cards

1. For the UK, Boots Corporate gift cards are issued by Boots UK Limited, registered in England and Wales with its registered office at Nottingham, NG2 3AA (registered number 928555 and VAT number GB116300129) (“Boots”) and are supplied via Boots’ agent, Blackhawk Network (Europe) Limited, Westside, London Road, Hemel Hempstead, Hertfordshire, HP3 9TD England (registered office) (registered number 07956446), who operates https://boots.cashstar.com/store/


2. For the Republic of Ireland, Boots Corporate gift cards are issued by Boots Retail (Ireland) Limited, registered in the Republic of Ireland with its registered office at 2nd Floor, 5 Riverwalk, Citywest Business Campus, Citywest Dublin 24, D24 TW13, Ireland (registered number IE363449 and VAT number IE6383449Q) (“Boots”) and are supplied via Boots’ agent, Blackhawk Network (Europe) Limited, Westside, London Road, Hemel Hempstead, Hertfordshire, HP3 9TD England (registered office) (registered number 07956446), who operates https://boots.cashstar.com/store/


3. Boots supplies physical (UK only) and digital gift cards to business customers (meaning any company, partnership, individual or legal entity acting in a business capacity) (“you”), referred to herein as “Boots Corporate gift cards”.


4. These Terms and Conditions apply to the order and supply of Boots Corporate gift cards, to the exclusion of all other terms. These Terms and Conditions constitute the entire agreement between you and Boots in relation to its subject matter and you acknowledge that you have not relied on any statement, promise, representation, assurance or warranty that is not set out in these Terms and Conditions.


Order and Delivery


5. Boots Corporate gift cards are available in variable denominations, and you can choose any denomination between £10-£250/€10- €250. The minimum order value is £1000/€1000.


6. Payment for Boots Corporate gift cards may be by debit card and credit card (excluding American Express), bank transfer or by a pre-paid float.


7. Boots Corporate gift cards can only be purchased by businesses that are registered in the UK or ROI, have been approved by Boots at registration. Where Boots Corporate gift cards are to be purchased by credit card, the card must have been issued in the UK or ROI and the cardholder’s statement address must also be in the UK or ROI. 


8. For the UK, Boots Corporate physical gift cards can be spent online at www.boots.com and in-store (excluding purchases of other gift cards, vouchers, mobile top up, prescription services, Boots Kitchen Appliances, Boots Opticians or Boots Hearingcare). Boots Corporate digital gift cards cannot be spent in-store. You cannot use your gift card on bootsphoto.com/bootsphoto.ie or in any photo stations in store.


9. If the recipient uses a Boots Corporate physical gift card or Boots Corporate digital gift cards online at www.boots.com or www.boots.ie and then returns their purchase via www.boots.com / www.boots.ie online returns process, the recipient will receive a refund via a digital gift card. If the recipient uses a Boots Corporate physical gift card instore and then returns its purchase instore, the recipient will receive a refund via a physical gift card.


10. For the UK, Boots Corporate physical gift cards can only be sent to valid UK business addresses (excluding PO Boxes). Boots Corporate gift cards cannot be collected from Boots stores.


11. Boots Corporate digital gift cards can only be sent to valid email address and will be sent to the email address provided by the purchaser.


12. Each order is an offer by you to buy the Boots Corporate gift cards subject to these Terms and Conditions. You are responsible for ensuring that your order is complete and accurate. Incomplete order forms will not be processed.


13. After you place an order, you will receive an email from Blackhawk acknowledging that we have received it, but please note that this does not mean that your order has been approved. Acceptance of your order takes place when Blackhawk sends an email to you to confirm your order has been processed, and it’s ready for dispatch.


14. The prices of the Boots Corporate gift cards will be as quoted on https://boots.cashstar.com/store/ at the time you submit your order. We take reasonable care to ensure that the prices are correct, but it is possible that the site may show incorrect pricing information. If we discover an error in the price after you have placed an order, Boots will contact you and give you the option of continuing to purchase the Boots Corporate gift cards at the correct price or cancelling your order. If Boots mistakenly accepts and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may cancel the order.


15. If Boots is unable to supply you with the Boots Corporate gift cards for any reason, Boots will inform you of this and will not process your order. If you have already paid for the Boots Corporate gift cards, Boots will refund you the full amount including any delivery costs charged as soon as possible.


16. As the Boots Corporate gift cards constitute “Multi-Purchase Vouchers” for the purposes of VAT legislation, no VAT is payable on the Boots Corporate gift cards. If the VAT rules change, Boots reserves the right to charge you applicable VAT.


17. Boots cannot guarantee availability or delivery for bulk purchases.


18. Once your order has been approved by Blackhawk in accordance with the above process, For the UK, Boots Corporate physical gift cards will be delivered within the next two business days. We will not be liable if you fail to provide adequate delivery instructions. If you fail to take delivery within 10 days after we first attempt delivery, we may cancel your order. Any discrepancies with a delivery of Boots Corporate gift cards, should be notified to the Customer Service team as below:

Discrepancies must be notified prior to activation of the Boots Corporate gift cards and within 24 hours of receipt or end of next business day (whichever is the later), after which any discrepancies cannot be investigated or remedied.


19. Boots Corporate digital gift card orders are delivered instantly once the funds have been cleared unless you have selected to send the Boots Corporate Digital Gift Cards on a specific date. 


20. Where Boots has any reasonable suspicion of fraud, including but not limited to redemption of Boots Corporate gift cards that have been reported as missing, it reserves the right to take legal action against you.


21. Boots Corporate gift cards cannot be cancelled once ordered, refunded or exchanged for cash or credit.


22. For the UK, Boots Corporate physical gift cards have no value until activated. Details of how to activate Boots Corporate physical gift cards will be included with each delivery. Boots Corporate digital gift cards are activated on purchase. Once activated, Boots Corporate gift cards are valuable and should be kept secure until required. Unused Boots Corporate gift cards cannot be returned.


23. For the UK, balances on Boots Corporate gift cards will expire twenty four (24) months from the last transaction. For the ROI, balances on Boots Corporate gift cards will expire five (5) years from the date of purchase. To check your balance please visit https://boots.showmybalance.com. Boots Corporate physical Gift Card balances can also be checked by asking any cashier in a Boots store, or by telephoning Boots Customer Services on 0345 120 5677 for the UK or 01800 719 824 for the ROI. 


24. Payment in full must be received in advance for all orders.


25. It is your responsibility to ensure that Boots Corporate gift cards are declared to HM Revenue & Customs where required by law. If you have any queries in relation to this, please contact them directly.


26. Responsibility for the Boots Corporate gift cards passes to you at the time of delivery or activation of the cards (whichever is the earlier). Boots has no liability for lost, stolen or damaged cards, whether or not they have been redeemed.


27. Title in the Boots Corporate gift cards remains with Boots until payment has been received in full, including all applicable delivery charges.


28. The use by you of trademarks or logos of Boots, or any of its trading companies, is only permitted with the prior written consent of Boots. Requests for such consent should be sent by email to opc.invoices@boots.co.uk. Boots reserves the right to withdraw such consent at any time and for any reason whatsoever, on providing you with written notice (including via email). The consent will terminate automatically if, in the reasonable opinion of Boots, you have breached these Terms and Conditions or when you have used all of your Boots Corporate gift cards, whichever is the earlier.


29. Without limiting any of Boots’ other rights, Boots may suspend the supply or delivery of the Goods to you, with immediate effect, decline to supply you in future and seek any appropriate legal remedy including, but not limited to, damages and / or injunctive relief if (i) you commit a material breach of these Terms and Conditions and (if remediable) fails to remedy such breach within 30 days of notice from Boots or (ii) you fail to pay any amounts due hereunder or (iii) you become insolvent or your financial position deteriorates.


Warranties and Liability


30. Boots does not warrant that the Boots Corporate gift cards comply with the laws, regulations or standards outside the UK and except as expressly stated in these Terms and Conditions. Boots does not give any warranties, representations or undertakings in relation to the Boots Corporate gift cards. All implied warranties, including the terms implied by sections 13 to 15 of the Sale of Goods Act 1979 are, to the fullest extent permitted by law, excluded from these Terms and Conditions.


31. Boots warrants that on delivery the Boots Corporate gift cards shall:(a) conform in all material respects with their description;(b) be free from material defects in design, material and workmanship, and if you give Boots written notice within a reasonable time of discovery that some or all of the Boots Corporate Gift Cards do not comply with the above warranty, Boots will at our option, replace the Boots Corporate gift cards or refund the price of the defective Boots Corporate gift cards. If required by Boots, you will allow Boots to examine the Boots Corporate gift cards and/or return them to Boots. Boots will not be liable for breach of the above warranty if you make further use of the Boots Corporate gift cards, if you alter the Boots Corporate gift cards or if the defect arises as a result of fair wear and tear, wilful damage, negligence or abnormal storage conditions.


32. Nothing in these Terms and Conditions limits or excludes Boots’ liability for (i) death or personal injury caused by its negligence (ii) fraud or fraudulent misrepresentation (iii) breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession) or (iv) any other liability that cannot be limited or excluded by law.


33. Except as set out in these Terms and Conditions, Boots will under no circumstances be liable to you for (i) any loss of profits, sales, business, or revenue (ii) loss or corruption of data, information or software (iii) loss of business opportunity (iv) loss of anticipated savings (v) loss of goodwill or (vi) any indirect or consequential loss.


34. Except as set out in these Terms and Conditions, Boots’ total liability to you for all losses arising under or in connection with these Terms and Conditions (whether in contract, tort (including negligence) for breach of statutory duty or otherwise will in no circumstances exceed the price of your order of Boots Corporate gift cards.


Force Majeure


35. Boots does not guarantee delivery of Boots Corporate gift cards or the performance of any of its obligations to you during any period in which it is prevented, hindered or delayed from doing so by reason of any cause beyond its reasonable control. This includes but is not limited to: an act of God, war, riot or civil disturbance, strike, lockout or other labour dispute, fire, flood, drought or accident, pandemic, epidemic, legislation, requisitioning or other act or order by any government department, council or duly constituted authority, breakdown of plant or machinery (including transport), shortages or unavailability from normal sources of products or of any other cause (whether of the foregoing classes or not) beyond the reasonable control of Boots.


36. Boots reserves the right, in its sole discretion, to decline to supply Boots Corporate gift cards to any customer.


37. If you purchased Boots Corporate gift cards via corporatebootsgiftcards@bhnetwork.com, you are not allowed to sell the gift cards to any third party without Boots’ prior written consent.


General


38. Boots reserves the right to change these Terms and Conditions from time to time by posting updated Terms and Conditions on the website https://www.boots.com/gift/gift-cards or https://www.boots.ie/gift/gift-cards 


39. Boots shall at all times comply with the terms of the applicable Data Protection and Privacy laws, instruments or regulations in carrying out its obligations under these Terms and Conditions. For more information on how your data is used by Boots, please call Customer Services on 0333 335 0419 (local rate from private telephones, including mobiles and included as part of any inclusive call minutes provided by your phone operator, but please note this is an international number for the ROI, so costs may be high), or see our Privacy Policy on boots.com / boots.ie. 


40. This contract is governed by the laws of England and Wales and or the laws of the Republic of Ireland and the parties hereby submit to the exclusive jurisdiction of the English/Irish courts.


41. Any notice must be in writing and be by pre-paid first class post or other next working day delivery service, in which case it is deemed delivered on the second working day after posting.


42. Boots may assign its rights and obligations hereunder to another entity, but you may only do so if Boots agrees in writing.


43. Any variation of these Terms and Conditions only has effect if it is in writing and signed by you and Boots. Any waiver of any rights must be in writing.


44. Each paragraph and provision of these Terms and Conditions operates separately. If any court or relevant authority decides that any of them is unlawful or unenforceable, the remaining provisions will remain in full force and effect.


45. No third party has any rights to enforce any of these Terms and Conditions. You may be required to agree to an additional End User Licence Agreement (“EULA”). Any EULA is directly between you and Blackhawk (or one of its affiliated companies). You acknowledge and agree that Boots has no liability under such EULA to you.
